Please read this Terms of Use Agreement (hereinafter “Agreement”), as well as the DatingFantasy.net Privacy Policy, carefully and in their entirety prior to using the DatingFantasy.net service (hereinafter “the service”) or registering as a DatingFantasy.net member (Hereinafter “member” or “subscriber”). • D. Term of Agreement:
  This Agreement will remain in full force and effect for so long as you use the website or service.


• E. Right To Receive A Non-Electronic Agreement:
  You have the right to receive this Agreement in non-electronic form. You may request a non-electronic copy of this Agreement either before or after you electronically sign the Agreement. • F. Right to Rescind:
  You have the right to rescind or withdraw, at any time, your consent to receive an electronic copy of this Terms of Use Agreement. To do so, please send an e-mail to infor@datingfantasy.netor a letter and self-addressed stamped envelope to P.O. Box 191331 Atlanta, Georgia 31119.


• G. Withdrawing Your Consent:
  You have the right at any time to withdraw your consent to have this Agreement provided to you in electronic form. To withdraw your consent and/or request a non-electronic copy of this Agreement, please send an email to info@datingfantasy.net or a letter and self-addressed stamped envelope to: P.O. Box 191331 Atlanta, Georgia 31119.
• i. Effective Date:
  Your withdrawal of consent to have this Agreement provided to you in electronic form becomes effective within a reasonable time after the date that it is received by DFN Corp.



• ii. Membership Status:
  Within a reasonable time after receipt of your withdrawal of consent, DFN Corp will deactivate your account and membership with Dating Fantasy.net. You will not longer have your account will not be reactivated until a signed copy of the Agreement and Privacy Policy is received by DFN Corp.


iii.
• Validity of Existing Agreement:
  The electronic agreement will remain in full force and effect and will continue to be legally binding upon you at all times up to and including the date that your withdrawal of consent becomes effective.

H. TERMINATION OF AGREEMENT:
This agreement can be terminated by the following:

• i. If the Member or Subscriber violates any term of this Agreement or Privacy Policy. DFNCorp reserves the right to determine, in its sole discretion, what constitutes a violation of the terms of the Agreement and/or Privacy Policy.


• ii. If the Member or Subscriber fails to renew his or her subscription in accordance with this Agreement


• iii. If the Member or Subscriber fails to pay the required subscription fee.


• iv. If the Member or Subscriber uses the website or services for a purpose not intended or stated in this Agreement or for any illegal enterprise. DFNCorp reserves the right to determine, in its sole discretion, what constitutes unintended or unstated uses.

v. By DFNCorp at any time, in its sole discretion, for any reason, with or without cause. DFNCorp is not required to provide you with notice of termination of your membership prior to termination. DFNCorp is not required to provide you with notice of termination of the account subsequent to said termination. DFNCorp may provide you with notice of termination electronically to the email address last provided on your account. Notification of termination of your membership or the reason for such termination will not be provided to you where such notification is prohibited.

vi. By the Member or Subscriber, at any time upon written notification to DFNCorp. This termination will also terminate your ability to use the website or the features or services of DatingFantasy.net. Said Written notification of termination will become effective within a reasonable time after DFNCorp’s receipt of the written termination request.

I. TERMINATION OF ACCOUNT:

i. If you terminate your account, your membership will continue through the end of your subscription period.

ii. If you wish to terminate your membership immediately, and do not wish to have use and accessibility to the website or services through the end of your subscription period, you must unequivocally state this request in writing to DFNCorp. This request will become effective within a reasonable time of DFNCorp’s receipt of the written request. You agree that you will not be entitled to a refund of any subscription fees should you decide to terminate your membership immediately.

iii. If DFNCorp terminates your membership for breach of this Agreement or Privacy Policy, you agree that you will not be entitled to a refund of any subscription fees.

J. SURVIVAL OF AGREEMENT AND PRIVACY POLICY FOLLOWING TERMINATION:
This Agreement and Privacy Policy survives the termination of your account, membership, subscription or profile and will remain in full force and effect.

III. MEMBERSHIP

A. REQUIREMENTS:
You must be at least eighteen (18) years of age to register as a member of datingfantasy.net or use the Website. Membership in the Service is void where prohibited by law. By using the Website, you represent and warrant that you have the right, authority and capacity to enter into this Agreement and to abide by all of the terms and conditions of this Agreement.

B. SUBSCRIPTION:
You may subscribe to membership of the Service one of four (4) levels.

• i. Standard Club:
  As a Standard Member, you will have the limited ability to participate in the features and Services available on the website. In order to access other areas of the website, use the website and service to communicate with other members and have access to other features and services, you must subscribe to one of the other membership levels at the stated subscription fee.



• ii. Platinum Club:
  As a Platinum Member, you will have access to all of the features and services of the Platinum membership, in addition to The Standard membership.



• iii. Black Club:
  As a Black Club Member, you will have access to all of the features and services of the Platinum and Gold memberships, in additional to membership in the DatingFantasy.net Fantasy Island.

C. SUBSCRIPTION FEES:
Subscription fees will be posted on the DatingFantasy.net website and are effective immediately upon being posted on the website.

D. RIGHT TO MODIFY OR AMEND SUBSCRIPTION FEES, FEATURES, SERVICES AND ACCESSIBILITY:
DFNCorp reserves the right to modify any and all subscription fees, as well as the features and services available for each membership level, at its sole discretion. You will be notified of any and all modifications or amendments to the subscription fees, services, features and accessibility to the same when they are posted on the website. Your continued use of the website and service after such amendments or modifications are posted will constitute your agreement to abide by and be legally bound by the modifications and amendments.

E. RENEWAL OF SUBSCRIPTION:
Renewal of your membership or subscription to the datingfantasy.net website is required annually for certain membership levels.

F. PURPOSE OF MEMBERSHIP:
DatingFantasy.net, its website, features, and services are intended for your individual use. Any and all use of the website, features and services for unintended, prohibited and/or illegal use will be prosecuted to the fullest extent of the law. Unintended and prohibited uses are as follows:

• i. Solicitation:
  Solicitation using the Datingfantasy.net website, services or features is strictly prohibited. This includes collecting, selling or using email addresses from the website for the purposes of transmitting unsolicited or unauthorized electronic mail. G. PRIVACY AND SECURITY:
Datingfantasy.net will not publish, sell or otherwise share your username and password information with any individual or entity unless in accordance with your profile specifications or unless required to do so by law. You agree that you are wholly responsible for the confidentiality and security of your username and password and for any and all activities and communications transmitted using your username and password. You agree that it is your responsibility to log off of your account at the end of each and every use, not to save your username or password using internet or computer software, and not to share your username or password with any other individual.

• i. Compromised Security of Username/Password:
  
  Should your username or password become compromised, you notice any unauthorized use of your username or password, or you become aware of any other compromise of the security of your account, you agree to notify Datingfantasy.net immediately.


• ii. Shared Network:
  If you access your account from a public or shared computer with others, or allow your computer to be accessed remotely or via any other link or means, you agree to be responsible for the security of your username and password, including, but not limited to your responsibility to disable any and all auto log on or username and password remembrance software.


• iii. Assumed Liability:
  Datingfantasy.net does not assume any liability associated with the compromise of the security of your account, or any loss, injury or damage which is the result of your failure to maintain the confidentiality of your username, password and account.

H. MEMBER INTERACTION:
You hereby acknowledge and agree that Datingfantasy.net does not screen its members for any reason.

• i. Background Checks:
  Datingfantasy.net does not conduct background checks or criminal history checks and does not verify statements made by its Members, including, but not limited to, statements regarding their marital or relationship status.


• ii. Conduct of Members/Subscribers:
  Datingfantasy.net does not make any representations or warranties with regard to the conduct of its members.


• iii. Compatibility with other Members/Subscribers:
  Datingfantasy.net does not make any representations or warranties with regard to the compatibility of any members, whether past, present or future.


• iv. Liability for Damages:
  Datingfantasy.net shall not, in any event, be liable for any loss, damage or injury, whatsoever, whether direct or indirect, general, special, compensatory, consequential, punitive or incidental, arising out of or relating to the conduct of any of its members or their use of the website or service. This includes, but is not limited to bodily injury, loss of personal or real property, emotional or mental distress or injury, or injury to one’s personality, reputation, business or trade. Datingfantasy.net hall not, in any event, be liable for any loss, damage or injury, whatsoever, whether direct or indirect, general, special, compensatory, consequential, punitive or incidental, arising out of or relating to or resulting from communications or in person interactions between you and other members or subscribers. You agree that DFNCorp and not, in any event, be liable for any loss, damage or injury, whatsoever, whether direct or indirect, general, special, compensatory, consequential, punitive or incidental, arising out of or relating to the conduct of any of its members or their use of the website or service. This includes, but is not limited to bodily injury, loss of personal or real property, emotional or mental distress or injury, or injury to one’s personality, reputation, business or trade. Datingfantasy.net hall not, in any event, be liable for any loss, damage or injury, whatsoever, whether direct or indirect, general, special, compensatory, consequential, punitive or incidental, arising out of or relating to or resulting from your decision to share your financial information with others, including, but not limited to members or subscribers of the website or service.

DFNCorp and Datingfantasy.net does not make any effort to verify the truthfulness, accuracy, or reliability of any such statements, opinions, advice, thoughts or beliefs and does not warrant, support or make any guarantees with regard to the truthfulness, accuracy or reliability of the same. You agree that, to the extent that you rely on any statements, advice, opinions or representations posted in the public domain by members or subscribers, you do so at your own risk and of your own volition without any inducement by DFNCorp or Datingfantasy.net. You agree that DFNCorp and Datingfantasy.net will not, in any event, be liable for any loss, damage or injury, whatsoever, whether direct or indirect, general, special, compensatory, consequential, punitive or incidental, arising out of or relating to the statements of any of its members or their use of the website or service. This includes, but is not limited to bodily injury, loss of personal or real property, emotional or mental distress or injury, or injury to one’s personality, reputation, business or trade.   You hereby agree not to provide DFNCorp or Dating fantasy.net with inaccurate, false, misleading, fraudulent or otherwise deceitful information about you or any other member or subscriber. You further acknowledge and agree that it is your duty to immediately update your account profile or correct any information previously provided to DFNCorp and Datingfantasy.net which may later become inaccurate, false, misleading, fraudulent or otherwise deceitful.


• x. Removal Of Content In The Public Domain:
  DFNCorp and Datingfantasy.net reserves the right to remove any content posted in the public domain that violates this Agreement.


• xi. Right To Report Content:
  DFNCorp and Datingfantasy.net reserves the right to report to the appropriate authorities any and all content posted in the public domain that violates this Agreement which may be illegal, dangerous to others or indicative or a past, present or future criminal or illegal act.

IV. PROPRIETARY NATURE OF WEBSITE

A. Copyrights, Trademarks, Services Marks and Proprietary Material:
DFNCorp owns and retains any and all proprietary rights in the website and the service. The website contains copyrighted material, trademarks, and other proprietary information of DFNCorp and datingfantasy.net. This does not include information which is in the public domain or for which you have been given written permission, you may not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information. Any violation of this policy will be prosecuted to the fullest extent of the law.

B. Grant Of Right To Use Posted Content:
You hereby acknowledge and agree that you grant DFNCorp and Datingfantasy.net an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display, reproduce, adapt, modify and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sublicenses of any content that you post in the public domain of the website or service. You further acknowledge and agree that content posted in the public domain of the website or service does not violate your rights or the rights of any third party.

V. PRIVACY:
The Privacy Policy is hereby incorporated and made a part of this Agreement.

VI. U.S. Export Controls. Any and all software from this Website is to United States export controls. You acknowledge and agree that you will not download any software from the Website or otherwise export or re-export the same into the following territories or to individuals who are nationals or residents of the following territories: Cuba, Iran, Iraq, Libya, North Korea, Syria, or to any other Country to which the U.S. has embargoed goods. You further acknowledge and agree that you will not download any software from the Website or otherwise export or re-export the same to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Table of Deny Orders. VII. JURISDICTION AND CHOICE OF LAW:
This Agreement is governed by the laws of the State of Georgia, United States of America. In the event that there is a dispute arising from the website, service or features, or by ones use thereof, you hereby acknowledge, agree and submit to the exclusive jurisdiction and venue of the state and federal courts of the State of Georgia, in Fulton County, United States of America. You further acknowledge and agree that such dispute shall be governed by the laws of the State of Georgia, United States of America.

VIII. INDEMNITY:
You agree to indemnify and hold DFNCorp and datingfantasy.net, its officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorney's fees, made by any third party due to or arising out of your use of the Service in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above.

IX. No Third Party Beneficiaries. You agree that, except as otherwise expressly provided in this Agreement, there shall be no third party beneficiaries to this Agreement.

X. ENTIRE AGREEMENT:
This Agreement along with the Privacy Policy constitutes the entire agreement between you and DFNCorp/Datingfantasy.net. If any provision of this Agreement is deemed to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.

XI. ACKNOWLDEGEMENT OF READING THE AGREEMENT AND PRIVACY POLICY:
By checking the box below, you indicate that you have read this Agreement and the Privacy Policy, in their entirety, that you understand the same and that you agree to be legally bound by each and every term and condition set forth therein.
